They constitute the bulk of the industrial base and also contribute significantly to their exports as well as to their Gross Domestic Product (GDP). Micro, Small and Medium Enterprises (MSMEs) contributes 8% of the country's GDP, 45% of the manufactures output and 40% of our exports. It provides employment to about 6 cr. people through 2.6 crore enterprises. The Micro Small and Medium Enterprises (MSME) sector forms the largest generator of employment in the Indian economy. It forms a major portion of the industrial activity. The Government of India has enacted the Micro, Small and Medium Enterprises Development (MSMED) Act, 2006. Special Roles for SMEs were earmarked in the Indian economy with the advent of planned economy from 1951 and the subsequent industrial policy followed by government. By and large, SMEs developed in a manner, which made it possible for them to achieve the desired objectives. Micro, Small and Medium Enterprises Development (MSMED) Act, 2006, is provided for facilitating the promotion and development and enhancing the competitiveness of micro, small and medium enterprises and for matters connected therewith or incidental thereto, emphasized on the following: Remove impediments due to multiple laws Introduce statutory consultative and recommendatory bodies in MSME policies Statutory registration procedures of MSMEs Statutory basis for purchase preference and credit policies Improve realization of payments of MSMEs What are Micro, Small & Medium Enterprises? Definitions of Micro, Small & Medium Enterprises In accordance with the provision of Micro, Small & Medium Enterprises Development (MSMED) Act, 2006 the Micro, Small and Medium Enterprises (MSME) are classified in two Classes: 1. Manufacturing Enterprises-he enterprises engaged in the manufacture or production of goods pertaining to any industry specified in the first schedule to the industries (Development and regulation) Act, 1951) or employing plant and machinery in the process of value addition to the final product having a distinct name or character or use. The Manufacturing Enterprise are defined in terms of investment in Plant & Machinery. 2. Service Enterprises: -The enterprises engaged in providing or rendering of services and are defined in terms of investment in equipment. The limit for investment in plant and machinery / equipment for manufacturing / service enterprises, as notified vide S.O. 1642(E) dtd.29-09-2006 are as under: Enterprises engaged in the manufacture or production, processing or preservation of goods as specified below: A micro enterprise is an enterprise where investment in plant and machinery does not exceed Rs. 25 lakh; A small enterprise is an enterprise where the investment in plant and machinery is more than Rs. 25 lakh but does not exceed Rs. 5 crore; A medium enterprise is an enterprise where the investment in plant and machinery is more than Rs.5 crore but does not exceed Rs.10 crore. In case of the above enterprises, investment in plant and machinery is the original cost excluding land and building and the items specified by the Ministry of Small Scale Industries vide its notification No.S.O.1722(E) dated October 5, 2006 . Enterprises engaged in providing or rendering of services and whose investment in equipment (original cost excluding land and building and furniture, fittings and other items not directly related to the service rendered or as may be notified under the MSMED Act, 2006 are specified below. A micro enterprise is an enterprise where the investment in equipment does not exceed Rs. 10 lakh; A small enterprise is an enterprise where the investment in equipment is more than Rs.10 lakh but does not exceed Rs. 2 crore; A medium enterprise is an enterprise where the investment in equipment is more than Rs. 2 crore but does not exceed Rs. 5 crore. FDI is one example of international factor movements. A foreign direct investment (FDI) is a controlling ownership in a business enterprise in one country by an entity based in another country. Foreign direct investment is distinguished from foreign portfolio investment, a passive investment in the securities of another country such as public stocks and bonds, by the element of "control". According to the Financial Times, "Standard definitions of control use the internationally agreed 10 percent threshold of voting shares, but this is a grey area as often a smaller block of shares will give control in widely held companies. Moreover, control of technology, management, even crucial inputs can confer de facto control." According to Grazia Ietto-Gillies (2012), prior to Stephen Hymer’s theory regarding direct investment in the 1960s, the reasons behind Foreign Direct Investment and Multinational Corporations were explained by neoclassical economics based on macro economic principles. These theories were based on the classical theory of trade in which the motive behind trade was a result of the difference in the costs of production of goods between two countries, focusing on the low cost of production as a motive for a firm’s foreign activity. For example, Joe S. Bain only explained the internationalization challenge through three main principles: absolute cost advantages, product differentiation advantages and economies of scale. Furthermore, the neoclassical theories were created under the assumption of the existence of perfect competition. Intrigued by the motivations behind large foreign investments made by corporations from the United States of America, Hymer developed a framework that went beyond the existing theories, explaining why this phenomenon occurred, since he considered that the previously mentioned theories could not explain foreign investment and its motivations. Facing the challenges of his predecessors, Hymer focused his theory on filling the gaps regarding international investment. The theory proposed by the author approaches international investment from a different and more firm-specific point of view. As opposed to traditional macroeconomics-based theories of investment, Hymer states that there is a difference between mere capital investment, otherwise known as portfolio investment, and direct investment. The difference between the two, which will become the cornerstone of his whole theoretical framework, is the issue of control, meaning that with direct investment firms are able to obtain a greater level of control than with portfolio investment. Furthermore, Hymer proceeds to criticize the neoclassical theories, stating that the theory of capital movements cannot explain international production. Moreover, he clarifies that FDI is not necessarily a movement of funds from a home country to a host country, and that it is concentrated on particular industries within many countries.

SEED (Social Enterprise for Economic Development)
Cultural understanding in the study of management becomes increasingly important when the world activity becomes borderless. This condition encourages the study of management to develop new capabilities that can accommodate activities involving individuals whose different cultural backgrounds. Inspired by this urgency, School of Business and Management - ITB and Asia Research Center - University of St. Gallen, Switzerland created a cross-cultural learning program in which students can learn in real terms to work together in teams that have different cultural backgrounds, called Social Enterprise for Economic Development (SEED) program. The hope is that they will gain practical knowledge about how to work within such multicultural team. On the other hand, answering the increasing demand for social responsibility to the community, SEED program is directed into a community development program in which students are challenged to assist rural communities to develop themselves. Through this program students are expected to hone social awareness and social responsibility to the community. This workshop, organized by the ASEAN Learning Network, aims to discuss cross-cultural learning program in the SEED program with experts and academics from Indonesian universities as an effort to enrich and to develop the context-based management studies.

With an explosion of data creation and growing concerns about consumer privacy, companies are increasingly turning to a technology called the hybrid cloud, says Michael Kenworthy of the Goldman Sachs Investment Banking Division. In the latest episode of our video series, The Long & Short of It, Kenworthy explains how the hybrid cloud allows companies to store data both on premise and in the cloud, a two-pronged approach that is particularly helpful for handling highly sensitive information while leveraging the benefits of cloud computing. Companies in the airline industry, for instance, deliver real-time travel updates to customers via the cloud but manage personal travel information on premise to ensure higher data security. As adoption of the technology rises, Kenworthy expects an uptick in deal activity. "What I expect to see is a significant amount of funding for a number of businesses... as well as a considerable amount of M&A transactions where enterprises are trying to bolster these solutions and provide an all-in-one package to their clients," he says. SEIS - Seed Enterprise Investment Scheme - Nicholas Charles Explains
SEIS - Seed Enterprise Investment Scheme explained by Nicholas Charles, FD of BankToTheFuture.com. If you are crowdinvesting then SEIS is very important. Seed enterprise investment scheme Following the announcement in the Autumn Statement, the Government has confirmed that Finance Bill 2012 will introduce the new Seed EIS (SEIS) from 6 April 2012. The rules are summarised as follows: • in order to qualify for the SEIS, a company must be undertaking, or planning to undertake, a new business which has fewer than 25 full-time employees and gross assets of less than £200,000 at the time of the SEIS investment;Budget Report 2012 11 • qualifying companies will be able to raise a total of up to £150,000 under the scheme, and funds raised must be used within three years. Once 75% of funds have been utilised, the company may raise funds under the EIS or from VCTs; • the scheme offers up-front income tax relief of 50% for subscriptions of shares by investors of up to £100,000 (which can include directors). It should be noted that a claim for relief under SEIS may not be made until at least 70% of the money raised by the issue has been spent by the issuing company for the purposes of the qualifying business activity for which it was raised; • the individual investor limit for SEIS will be £100,000 per year; and • there is also no CGT payable on the disposal of SEIS shares held for more than three years. Furthermore, the rules provide for an exemption from CGT on gains realised from disposals of other assets in 2012/13 where the gains are reinvested through the new SEIS in the same year. In addition to the above rules, and following recent consultation, the following changes have also been announced to the SEIS rules: • companies can qualify even if they have subsidiaries; • eligibility is determined by reference to the age of the trade, rather than the company (any trade being carried on by the company at the date of the relevant share issue must be less than two years old at that date, whether the trade was carried on by the company or another person); • the reference to holdings of other entities in calculating asset and employee tests has been removed; • the rules have been relaxed to allow previous (but not current) employees to qualify for relief; and • the rules have also been relaxed to allow directors who qualify under SEIS to continue to qualify under EIS (subject to time limits). Comment: The new SEIS rules, and in particular the relaxations, are welcome and should be considered a positive step. Question Time: Enterprise, Trade and Investment 20 January 2015
What impact will the proposed devolution of Corporation Tax have on job creation and inward investment? That was one of the questions asked of Enterprise, Trade and Investment Minister, Arlene Foster, during today’s Question Time. “Corporation tax can be a major stimulus for jobs and investment in our local economy. Bringing about a step change in economic performance is not possible without implementing new powers.” The Minister expects the economy to grow by 11% as a result of changing the corporation tax level to 12.5% from April 2017. Mrs Foster also gave her assessment of the latest Tourism Ireland overseas visitor numbers. The Minister described the figures as “very positive” and expressed her confidence that Programme for Government tourism targets will be met. She also spoke of her focus in working with different airlines to get routes from Canada, Germany and the Middle East direct to Northern Ireland. During Question Time the Minister also discussed planned redevelopments of Royal Portrush Golf Club in anticipation of hosting the Open Championship in 2019, the potential tourism benefits of opening the Ulster canal and the funding available for tourism events. During the topical question period the Minister also answered Members’ questions on the JTI Gallaher closure, the ‘Gas to the West’ project and plans to increase economic activity in Armagh.

Politicians in the media often talk about the private and public sectors of our economy but what's the difference? And which one is more effective? The private sector is made up of businesses or corporations owned by people. The private sector includes malls, grocery stores, and your local diner. To make a profit in the private sector, businesses must earn our money by offering us products and services that we want or need. When businesses have to compete for the same dollars, prices go down because no one wants to pay twice as much for shoes at one store if you can get the same pair cheaper at another place. On the other hand, the public sector is not supported by profits. It doesn't have to compete for our dollars. Instead, the public sector uses our tax dollars to fund its services. So we pay for these programs no matter how much or how little we use them. The government decides how our tax dollars should be spent in the public sector. This makes sense for some things. For example, you probably wouldn't want firefighters or police officers competing with one another for your business. In other cases though, this means things cost more or service is worse. The U.S. Post Office has $100 billion in debt and is regularly bailed out with taxpayer money. And the Department of Motor Vehicles isn't usually known for fast, friendly service. In contrast, private companies know that if they offer poor customer service and don't make money, they'll go out of business. When comparing the private sector with the public sector, it's clear that the market-driven private sector is more efficient. When you don't have to be profitable or accountable, things tend to be more expensive and the service is worse. So when there's a choice between a private sector or a government service, think about that package you really need delivered.

LBO Exit Strategies: M&A, IPOs, and Dividends / Recapitalizations

But in real life, that doesn’t necessarily happen… sometimes, a portfolio company cannot be sold to another normal company or even to another private equity firm. For example, it might be too big for another company to buy, or it might be in an unfavorable market where there’s little M&A activity. Also, it tends to be harder to do M&A deals in emerging and frontier markets because potential buyers are also smaller and less willing to make big acquisitions. As a result, you need to think about 2 alternative exit strategies: initial public offerings (IPOs) and recapitalizations (recaps), otherwise known as dividends / dividend recaps. The Mechanics of an M&A Deal A normal M&A deal is simple: you simply assume an exit multiple, calculate Enterprise Value based on that, and then back into Equity Value by subtracting Net Debt. Then, you calculate the IRR and multiple to the private equity firm by looking at its initial investment and how much the firm receives back at the end upon exit. There is some uncertainty around the timing of the exit and the multiple, but overall it is a very “clean” process because the firm sells 100% of its stake all at once, to another single firm. Initial Public Offerings in an LBO In an IPO scenario, the PE firm cannot sell its entire stake when the company goes public because it sends a big negative signal to everyone else in the market and new potential investors: if this company is so great, why are you selling your entire stake in it? So instead, the firm has to sell off its holdings over a period of time… perhaps 20% in Year 1, 35% in Year 2, 30% in Year 3, and 15% in Year 4, as in our example. If the share price stays the same, the MoM multiple is the same but the IRR is lower because it takes more time to get the same capital back. But if the share price fluctuates a lot, it could work for the firm or against the firm: a higher share price over time obviously helps them, while a declining share price hurts them. In general, though, the IRR tends to be lower in an IPO because it takes the PE firm more time to sell its holdings; the MoM multiple may be about the same, or it might be higher or lower depending on the share price movement. Dividends / Recapitalizations in an LBO This is not really an “exit strategy” at all: the private equity firm simply holds the company indefinitely and the firm keeps issuing dividends from its excess cash flow to the PE firm. In some cases, the company may take on extra debt to issue these dividends (known as a “dividend recap”). The problem here is that the company can only issue dividends with the cash flow it has available, which is typically far less than its EBITDA. This strategy can work if the company grows very quickly and/or is a “cash cow” business with high margins and high FCF yield, but in general it is very tough to realize a high IRR solely with dividends, simply because it might take years and years just to recoup the initial investment. The MoM multiple, over a long period, might be reasonable, but the IRR would end up being so low that many PE firms would not be interested at all. Conclusion The M&A sale is the preferred strategy in 99% of leveraged buyout scenarios because it tends to produce the highest IRRs and highest MoM multiples, with the least amount of uncertainty. However, in many cases the PE firm will have to use strategies such as an IPO exit if, for example, the company is too big to be acquired; and if it really can’t figure out what to do, dividends / recapitalizations may be used. They are especially common in emerging and frontier markets where the capital markets are smaller and less liquid and where it’s harder to find qualified buyers. What is the risk that you think that you aer wrong, that you could be wrong? These are all probabilities. So right now, I would say half the activity in the space is enterprise-- private blockchains, let's figure out how to do a supply chain amongst the people that use it-- and half are open-source, public blockchain stuff. Both are interesting. Both are important. It's easier for people to want to shift. I like blockchain, and I don't like Bitcoin-- you've heard that 1,000 times. And so from a business perspective, that's a harder business to monetize than the trading, the coins, the ICO's, the public stuff. And so that would make it harder. There are two kind of existential risks. One is G20 one day wakes up and changes their mind on everything. I think it's a low, low probability. But we've got a pretty volatile president. And he lands on his shoulder and yells in his ear. Who knows? So there's still a small risk that the regulatory guys get really anti. I think it's very small. We're still early enough that a major, major hack-- we've had hacks-- $500 million here-- but a major hack in one of the now trusted organizations could also set us back some. But I don't think-- And that's a setback, though. It's not a real-- I don't think there's a risk that in 10 years time, blockchain technology, decentralized systems are not in far more used than they are today.

You always start in Part 1 by projecting the company’s Cash Flows over 5-10 years, and sometimes more than that, and you almost always use Unlevered Free Cash Flow because it doesn’t depend on the company’s capital structure, it’s faster and easier, and it gets you the most consistent results. Unlevered Free Cash Flow should reflect only items that are: 1) Related to or “available” to all investor groups in the company – think of it as “Free Cash Flow to ALL Investors”; and 2) Recurring for the company’s core-business operations. Unlevered FCF corresponds to Enterprise Value, which represents the value of the company’s core-business Assets to ALL investors in the company. As a result, you ignore most items on the financial statements, and Unlevered FCF usually includes only: 1) Revenue 2) COGS and Operating Expenses 3) Taxes 4) Depreciation & Amortization (and sometimes other non-cash charges) 5) Change in Working Capital 6) Capital Expenditures You IGNORE Net Interest Expense, Other Income / (Expense), most non-cash adjustments, most of the CFI section, and the CFF section on the CFS. Example for Steel Dynamics: We include the common items above, and we ignore the Asset Impairment Charges (non-recurring), Net Interest Expense (only available to Debt investors), and Other Income / Expense (non-core-business activity). We include but modify the Income Tax Expense, and instead of Net Income on the CFS, we use NOPAT, equal to EBIT * (1 – Tax Rate), instead. On the Cash Flow Statement, we include the Depreciation & Amortization add-back, exclude Impairment Charges and Gains/Losses (non-recurring), and exclude Stock-Based Compensation (affects only the Equity investors, changes share count, and is not a real non-cash expense). We do include Deferred Income Taxes as well because a DCF should reflect the company’s actual Cash Taxes paid, but they decrease as a % of Income Taxes over time and should not be a major value driver for most companies. Then, we keep everything in Working Capital, we keep CapEx in Cash Flow from Investing but drop everything else, and we ignore everything in Cash Flow from Financing (items are non-recurring, or related to just Equity or just Debt investors). Example for Snap: It’s very similar; keep Revenue, Cost of Revenue, and all Operating Expenses, modify the Income Tax figure, use NOPAT rather than Net Income, and include D&A, Deferred Taxes, the Change in Working Capital, and CapEx. We might include the Purchases of Intangible Assets as well, depending on the company’s plans and how they’re contributing to the business.

The fifth Hotel Investment Seminar gave answers to the question; hotel investment in the Netherlands: Hot or Not? looking at various aspects involved. Jonathan Langston (CBRE Hotels) gave you a view from the top, focusing on the international hotel- and transaction market. Erik Jacobs (Invesco) shared his view from an investor’s point of view, while Nick Smart (Hilton Worldwide) focused on the operators point of view regarding the current market conditions, investment opportunities and contract issues. Joanne Owen (DLA Piper) construed contemporary hotel contracts and the influence they have on investments and on the project’s value. Finally a panel discussion with Dries van der Vossen (Bilderberg), Milan Arandelovic (Hilton Worldwide) and Jan Roersma (Hospitality Support Group) will go more into depth about specific hotel investment topics, such as potential oversupply, active hotel policies of the municipalities and the investment climate. The panel discussion will be introduced by an interview with Jan Steinebach, Director of Hotels Benelux at CBRE Hotels.

The Tánaiste was joined at the launch by members of the Export Trade Council, including Jobs Minister Richard Bruton, Transport Minister Leo Varadkar and Minister of State for Trade and Development Joe Costello. We spoke to Tourism Ireland CEO Niall Gibbons, who also attended the launch, about the importance of the Strategy, particularly for tourism. The Review's key recommendations are: - the establishment of a 'new market approach' by disaggregating Ireland's 27 priority markets to ensure that Ireland engages with high-growth markets in Asia, South America and Africa - the inclusion, for the first time, of a 2015 target of €900 million for the international education sector in recognition of its growing economic contribution - the maintenance of existing targets for the creation of 150,000 new jobs directly associated with exporting enterprises, a 33% increase in exports by State agency-assisted companies and 780 new inward investment projects through IDA Ireland, should be maintained. Speaking at today's launch the Tánaiste said: Creating more and better jobs is the Government's first priority. This Review will help to ensure that the resources of the State -- both the embassy network and State agencies -- are positioned to deliver maximum overall benefit for the economy, meaning good jobs for our people at home. The Review includes a 'new market approach' which recognises markets deemed to be of crucial importance, designating them 'High Value Markets'; a group of other 'Established and Developing Markets' and, finally, a number of 'Exploratory and High Potential Markets' where Ireland will be looking for new opportunities in the future. These include Turkey, Nigeria, Mexico, Vietnam and Chile, along with Indonesia and Thailand, where I recently announced that my Department will open two new embassies later this year. As chair of the Export Trade Council, which is responsible for overseeing the implementation of the Strategy, I am pleased to officially launch this Review together with the other members of the Council. I would like to thank all those whose constructive engagement was vital in producing this document. Minister Richard Bruton added: Exports are at the heart of our jobs plan. We inherited a broken economy based heavily on debt and property -- we are in the process of building a new economy based on exports and enterprise, and in the past two years the exporting sectors have added more than 20,000 extra jobs. I am determined to ensure that we continue the systematic, brick-by-brick approach to rebuilding our exports and our competitiveness that we have taken in the past three years. With the right supports for our agencies, and the right support for exporters, we can continue the trends we have seen in the past two years and create the employment we need.
